ART OF THE MUSIC DEAL:
What Happens Before You $ign on the Dotted Line?

Mock Negotiation of a Music Publishing Deal

on Wednesday March 13, 2013 in Atlanta

In this latest installment of NARIP’s “Art of the Music Deal” series, two top music attorneys face off in a live negotiation of key deal points and contractual issues in a publishing deal that affect a songwriter’s rights and income.

These experts come together to give you the inside track on major deal points, what they mean and what leverage you have to negotiate the best possible deal.

Most people think they can just hand a negotiation to a lawyer, and leave it at that. But as a professional, you need to be aware of the process and deal points, too, and what the short- and long-term implications to your artists’ careers may be.

NARIP’s series de-mystifies deal-making and enables the lawyer and non-lawyer alike to come away with a clear grasp of the most important deal points and leverage available. Infinitely better than merely READING about it, see the deal duked out and DONE right before your eyes.

Most importantly, you will see HOW a publishing deal is negotiated and be involved in the process.

  • Songwriter development
  • Advances
  • Sources and types of income

She is also a co-producer/ organizer of the newly launched Music Makers Network, which features regular music industry events intended to promote networking and educational opportunities within all of Atlanta’s music industry.

Simon Horrocks, Co-Founder, Affix Music

Simon Horrocks and Michael Weeman are the driving force behind Affix Music. Their vision for the company evolved from a shared appreciation of urban music, working relationships with successful producers and recording artists and deep experience in artist management and music publishing. They’ve made it their mission to make licensing easier and more profitable for everyone involved. As a management consultant for Ciara, Simon Horrocks witnessed the global demand for hip-hop while working with the Grammy-winning artist on her first world tour. Simon discovered the supply side of the business when he returned home to Atlanta to work with Devyne Stephens as the GM of Upfront Records, home to Akon & Kandi. A mountain of CDs from hopeful unsigned talent began to grow on his desk. The opportunity to connect supply and demand presented itself when he was asked to find affordable, relevant music for an urban lifestyle project with The Athlete’s Foot. Simon selected a track from one of the producers he was working with, and the net result was a satisfying win-win experience for all involved. Thinking he might be onto something, Simon approached several producers to shop their unplaced music for TV and radio projects. “Yes. Go get me a check!” was their unanimous response. Simon immediately started helping Clear Channel find musical talent for major brand advertisers. From there he landed projects for HBO, BET and Disney. Business was good, but he wondered if the venture would be scalable. After serving as an artist manager and an A&R consultant to MCA Records and Zomba Music Publishing, Michael Weeman was hired as a Writer-Publisher exec to open BMI’s Urban-focused Atlanta office. As the city’s Urban Music community continued to evolve, he left BMI to manage a group of producers and mixers with Multi-Platinum credits, including Ludacris, Lil Jon, David Banner, Bone Crusher and Shop Boyz. Michael was impressed by the resourcefulness and prolificacy of the talent in his stable. He was also struck by the volume of quality music left un-monetized in the rapidly changing music business. He began using his knowledge of music publishing and his law degree to negotiate licensing deals to help his team capitalize on the unplaced music in their catalogs. But the traditional methods of licensing often made the process extraordinarily time-intensive, and the varied collaborations inherent in Urban music creation made the deals cumbersome. There had to be a better way. When Simon and Michael shared their experiences, they agreed the market was hungry for quality urban Music and related genres. They both agreed the conventions of licensing were creating obstacles that were stunting the growth of creativity for music providers and media professionals. And they both agreed that they were uniquely positioned to solve the creative and legal problems that would help break down these obstacles to let the music flow.

Juliett Rowe, Marketing & Project Management, Madison Records; Founder, Atlanta Record Label Fest, NARIP Board Member and Panel Moderator Juliett Rowe has spent her career working with indie and DIY musicians, whether writing about artist, helping them strategize or taking late night calls to offer words of encouragement.  In 2013, she became head of marketing and promotions for Atlanta indie record label Blood Drunk Records. With ten bands on its roster in various stages of recording and touring, Juliett developed album release plans, secured tour press, and elevated the label to become one of the strongest indie record labels in Atlanta. She realized that many people in the DIY music scene often went unnoticed and unrecognized for their hard work so she created the Atlanta Record Label Fest in 2015.  The event showcases people behind the scenes and serves indie record labels by creating an opportunity for networking and building community.  It serves fans with cutting-edge musical artists, bridging gaps between genres and sub-cultures. Its first year, the Atlanta Record Label Fest drew hundreds of people.  The second year (2016) saw the event expanded to two days and included indie record labels from across the state of Georgia. In 2017 Juliett expanded her artist management and consulting business for independent and DIY artists with Panther Creek Artist Management. She is now handles marketing and project management for Madison Records (Orchard/Sony) on digital marketing and project management initiatives. Juliett has combined her love of music and technology as a Co-Founder and Head of Client Relationships and Marketing with Bandskor, which is building a dashboard to help talent buyers manage and analyze band submissions. Juliett is active not only in the Atlanta music scene, with NARIP and the Atlanta Chapter of the Recording Academy. She understands the need for education, networking, and supporting fellow friends and artists. You can often find her at a show, or hanging out with bands waxing poetic on the value of having a Web site and an email list. JuliettRowe.com THANK YOU
Special thanks Steve Jones for hosting this event at Georgia State University.

DETAILS

Artist development is vital to the health of our industry. As this function is cut to the bone at most labels, the artist development executive’s role becomes even more important to help shape and guide talent from the studio to the marketplace.

In this NARIP session, you will discover the magic and the mystery of artist development, who’s getting signed (and who’s not), choosing the right producer, getting the attention of producers and A&R execs, signing with a major or indie, and more.

Get an insider’s peek at the economic and artistic realities of the fastest-changing, hottest business in the world and don’t miss this intimate, unique and interactive learning experience.

TO BE DISCUSSED

  • What styles of music work best for majors and indies
  • Scouting for a record company – established connections, industry impact, staff, distribution, resources and strategies that have taken years to assemble (this is quite an advantage).
  • When and when NOT to sign and why.
  • Kinds of artists NOT getting signed.
  • The importance of touring to developing artists. Most labels WILL NOT SIGN a non-touring artist.
  • How corporate changes affect who gets signed, released and marketed.
  • The process: from discovery to record release (today a much shorter process).
  • Making the right record: selecting producers and the rest of the team.
  • The future of A&R and artist development. If you look at history, the process is strikingly similar with the exception of company investment and patience. The artist always made an impact, and the A&R department was influenced by that impact.

ABOUT THE SPEAKERS

James Barber

James Barber got into the music business when he randomly tagged along with his roommate to the orientation meeting at the college radio station. Two months later, he was music director. Since then, he’s made $$$ as an independent radio promoter, tour manager, music publisher, indie label production coordinator, band manager, major label A&R guy, rock critic, reissue/catalog manager, record producer and freelance consultant/spiritual leader. Career highlights include managing Drivin’ N’ Cryin’ during the “Straight to Hell”/“Fly Me Courageous” years, doing A&R at Geffen/DGC during the ‘90s and producing Ryan Adams. Only some of that stuff on the Internet is true.

Sean “Jo Blo” Johnson, Blo Entertainment

Sean “Jo Blo” Johnson is an entertainment manger specializing in music. He manages and consults artists, producers, songwriters, DJs and actors. Blo Entertainment has a digital distribution partnership with Ingrooves / Fontana. Select clients (past and present) include Outkast, Ying Yang Twins, producers Organized Noize, Producer Isaac Hayes III, Goodie Mob, writer Rob A, actor and radio show host Braxton Cosby and actor / radio show host Staci Jae Johnson and others. He has worked in the music business in Atlanta for 20+ years.

Steve Jones, Brash Music

Steve is a music lifer. He joined the school orchestra in the 4th grade, and then in the 7th grade sold his sax, bought a guitar and has been rockin’ ever since. Steve played in a band called “The Jades” (is that 60’s enough for you) during high school. Two years of radio followed seven years of college. Then, after a stint producing the weekly syndicated radio show “Rock ‘N Roll Roots”, it was time to go to work for a major label. 1978 saw the start of a 26 year run with Atlantic Records. The first 10 years were in radio promotion, where he worked with The Rolling Stones, AC/DC, Chic, U2, INXS, Bette Midler, Genesis, Foreigner, The Spinners, Yes, Laura Branigan, Debbie Gibson and some others he’s forgotten about. Then in 1988, he moved over to the marketing/sales side of Atlantic and was instrumental in the development of the careers of Hootie & The Blowfish, Edwin McCain, Seven Mary Three, Matchbox Twenty, Collective Soul and Tori Amos, among others. 2004 brought on another WMG “downsizing” and Steve became the one Atlantic let get away. He saw this as an opportunity to join the fine folks at Brash Music on their path of re-thinking the music business. In his role as CEO of Brash, he has aided in the development of the careers of Anthony David, Aaron Shust and Gungor. Steve is a Visiting Instructor in the School of Music at Georgia State University and also sits on the Board of Governors for the Atlanta Chapter of the Recording Academy.

SPECIAL GUEST SPEAKERS

SERGE DURAND
A&R Consultant
Atlantic Records and Jermain Dupri’s So So Def Management

Raised in Jamaica Queens, NY, never once did this ALL-CITY basketball player Serge Durand think that his love for music would turn into a successful career. After moving to Atlanta to attend Clark Atlanta University, he met recently retired Bad Boy recording artist Ma$e, which gave him his first look at the ins and outs of the music industry. Upon Ma$e’s return to rap in 2004, Serge assisted him which entailed being in the studio with the hitmaker / songwriter day and night. Watching Ma$e create sparked Serge’s interest in A&R. He credits his “Ear for a Hit” to Ma$e. In 2005, a chance encounter with producer NO I.D would be the first of many new open doors for Serge, who went on to manage NO I.D. Two years later, one meeting led to another and the legendary Jermaine Dupri hired Serge as the Creative Director of A&R of his publishing company Dieniahmar Music Publishing. Dieniahmar’s roster includes award winning songwriter Cristyle (Mariah Carey “Touch My Body”), Nitt i(Young Joc “It’s Going Down”), Natural Disaster (Soulja Boy “Turn My Swag On”), L Roc (Usher “Yeah”, Nelly “Grillz”), Marvelous J (Rocko “This Morning”), Marcus John (Day 26 “I Need That”), Free Agentz, and Young Juve. Countless hours spent in Atlanta studios placing songwriters with producers, looking for the next big thing finally paid off when Atlantic Records Executive Vice President of A&R, Mike Caren caught wind of Serges’ hustle and work ethic, and him as an A&R Consultant in 2009. As he continues to work on projects for artists such as T.I., Plies, Trey Songz, Pleasure P, and Flo-Rida he strives to be the best at what he does. Never complacent, he is eager to change the game and offers advice to anyone who will listen. Currently Serge works with Jermain Dupri’s So So Def Management company and manages a team of producers.

RAYCHEL JONES
A&R Management

While still in college, Raychel Jones founded A&R Management to manage local upcoming talented artists, producers, and songwriters and assist them to achieve their career goals. She also got her first industry job at that time as a college marketing rep for SoSo Def and Interscope Records. She coordinated meet and greets, radio interviews and marketing campaigns for Interscope artists such as Keyshia Coles, Robin Thicke, Souljah Boy, Rick Boy, Keri Hilson and others. Her senior year feeling the need to fill a void for producers, she created I Beat Daily and the Official Producers Battle was established. The event created a platform for upcoming producers to showcase their talents for industry executives. I Beat Daily grew as the largest and most anticipated event not only for producers but also for artists and music lovers in Virginia. The event has expanded to Raleigh, NC and Atlanta, GA, now a meeting point for upcoming producers and major label executives. I Beat Daily has garnered participation from Atlantic, Interscope, Sony, and Epic. Kalief Brown (APG), Tano (Song BMG), and Razhjah (A$AP Ferg “Let it Go”) are just couple of producer who have came up from I Beat Daily. Raychel also worked with Ray Daniels, VP of A&R for Epic Records, in addition to his management company R.A.Y.D.A.R, home to Epic recording artist Curtis Fields and hit songwriters Rock City. Currently Raychel manages producer Razjah who produced the latest single for A$AP Ferg (Let it Go).

Mock Negotiation and ABCs of a Music Producer Deal

Wed May 15, 2019 in Atlanta

NARIP Mock Negotiations Generate Better Deals!

A NARIP Series: Mock Negotiations Clarify Most Important, Career-Supporting (or detracting) Deal Points for Laymen

Are you making good deals for yourself and for your clients?  Is a bad deal holding you back?

At NARIP’s Art of the Music Deal series featuring mock negotiations of the most important music business deals,  you get to meet top industry deal-makers including music and entertainment attorneys, label and music publishing executives, personal artist and producer managers, and producers to hear their in-depth discussion, debate and dissection of key music business deals.  No more fear of the fine print!  Our experts break it down in easy-to-understand language, with sample agreements and checklists to support your next negotiation.

Top executives wrangle a career-making music producer deal at NARIP’s May 15h program in Atlanta.  Most people think they can just hand a negotiation to a lawyer, and leave it at that. But as a professional, you need to understand the process and deal points, too, and what the short- and long-term implications to your artists’ careers may be. In this session, top experts producer-manager Rico Brooks, music and entertainment attorney David Prasse, Esq. and producer-label owner Tanner Hendon discuss key areas of a music producer agreement and negotiate a deal LIVE. They will give you the inside track on major deal points, what they mean and what leverage you have to negotiate the best possible deal. Most importantly, you will see HOW a producer deal is negotiated and see the process. Get educated about the art of deal making and the right time to make a deal!

BACKGROUND

Since 2008, NARIP’s Art of the Music Deal series has presented, broken down and explained dozens of important deals in layman’s terms, including:

  • 360 record deals
  • distribution
  • music publishing
  • sponsorship & merchandise
  • personal artist management deals
  • music producer deals
  • and more

As a consequence, hundreds of NARIP members and their clients have made better deals.  Producer Manager RicoBrooks – who will speak at NARIP’s program on May 15, 2019 in Atlanta – learned key deal points that he implemented IMMEDIATELY in his business after attending NARIP’s 2017 Mock Negotiation of a Music Producer Deal featuring speakers Evita G. Kaigler, Esq., Kendall A. Minter, Esq. and Julie Kessler Roach, Esq.

That’s valuable!

Topics at NARIP’s Mock Negotiation & ABCs of a Music Producer Deal:

  • Logistics: Where song is recorded, artist approvals, producer deliverables.
  • Master Recording: Who will own and control it?  What does this include?  Exclusive rights to manufacture, distribute and issue master use licenses.
  • Splits: Is producer also a songwriter?  What percentage, if any, is producer entitled to of the song’s copyright?
  • Fees: How, what and when will producer be paid?  Up-front and back-end compensation.
  • Credit: What specific credit will producer receive?
  • General Clauses, Terms & Options: Original work, indemnification and more.
Also to be discussed:
  • Producer advance vs. recording fund. Did you know it all comes out of the artist’s recording fund? Producer royalty.  Did you know it all comes out of the artist’s royalty?
  • Recoupment
  • Controlled Composition Clause: what you need to know if your producer is also your co-writer. What does the artist’s recording agreement say?  This affects the producer’s royalty, royalty accountings, mechanical royalties, CD reductions, “fake” free goods and much more.
  • Assignment
  • Learn what to ask for and what to avoid in your next deal, walk away from NARIP’s program armed with important checklists and a sample form agreement of a music producer deal
  • Direct access + firsthand info = better results FOR YOU

BONUS: Sample music producer form agreement will be provided.

NARIP programs enable a deep dive into important deals and enable audience questions and direct feedback, making them even more valuable.

Most important, attendees meet these key players, paving the way for deals, representation, collaboration and ongoing opportunities, and giving them an edge in a competitive market.

Be prepared to take plenty of notes!

Sterling Bacon
Red Light Artist Management

Sterling began his career in the music business in 1996 as an assistant at an Atlanta recording studio. After a brief stint with an independent record label the following year, he shifted his focus to artist management and began working at Alliance Artists in 1998. Over the past 15 years, he has worked with such acts as Bad Company, STYX, Lynyrd Skynyrd, Tesla, Thin Lizzy, Pop Evil, SHIROCK, Don Felder & Bo Bice. Currently an Artist Manager at Red Light Management, he manages the country band Connor Christian & Southern Gothic and handles day-to-day operations for the bands STYX, Almost Kings, Don Felder, Outlaws, Blackhawk and more. Sterling also served as the product manager for Pazzo Music, an independent record label launched in 2008 by Alliance Artists, in partnership with industry veteran George Cappellini and Fontana Distribution. In addition to his artist management and record label duties, Sterling designed, developed and maintains a custom-built database application, created for the purpose of managing the information and workflow of all touring operations for Red Light Management’s clients. He also handles much of the graphic and web design for Red Light’s clients. An Atlanta native, Sterling’s path in music began at an early age with piano and trumpet lessons, but it was his first purchase of an electric guitar at the age of 15 and The Who’s “Tommy” that solidified his path. Prior to beginning his career on the business side of music, Sterling played in a Denver-based band for several years. He is a graduate of the University of Colorado, Boulder, and lives in the Atlanta area with his wife and two children. Sterling is an Executive Committee Member with Georgia Music Partners and a member of the Recording Academy’s Atlanta Chapter.

Charlie Brusco
Red Light Artist Management

Charlie Brusco’s early love of rock and roll music has led to one of the industry’s most successful careers in artist management. In the early 70s, Brusco discovered and managed The Outlaws, who were the first act signed to Clive Davis’ Arista Records in 1973. His work with this multi-platinum southern rock giant paved the way for his relationship with classic rock radio legend Lynyrd Skynyrd. His successful revival of Skynyrd’s career brought other classic rock acts to his door such as Bad Company, Peter Frampton, Survivor, Tesla, John Waite, Thin Lizzie and Styx. Charlie was born in Pittsburgh, PA and at 14 formed his own band which won a recording session with RCA Records. After college he moved to Tampa, FL and founded Southern Bay Productions. After discovering The Outlaws he moved to Macon, GA and then to Atlanta, GA in 1976. He created High Tide Management, Inc. The company was wildly successful and in 1979 The Outlaws sold out Madison Square Garden. During Jimmy Carter’s victorious run for the White House in 1976, Charlie arranged and produced many concerts for the benefit of Carter’s campaign. He began to promote concerts in addition to his managerial duties. During that time he promoted the benefit Amnesty International Concert at the Omni in 1986 with Bill Graham and Alex Cooley. Stars such as U2, The Police and Bryan Adams appeared. Ten years after the tragic 1977 plane crash, Charlie reunited the survivors of Lynyrd Skynyrd and they have successfully toured up to the present day. In 1996 he also reunited the members of Styx and they had the most successful tour of their 20+ year career. At present, they are even hotter, selling out venues all over the country. They appeared at the Super Bowl twice in recent years. The day after the heartbreaking events of 9/11/2001 Charlie and Styx decided they could not just stand by and do nothing. During one phone call “Volunteers for America” was conceived. Charlie and his staff put together, in only 3 weeks, two benefit concerts. Appearing at the Atlanta and Dallas concerts were Styx, Lynyrd Skynyrd, Bad Company, Journey, REO Speedwagon, Kansas, Peter Frampton, Eddie Money, John Waite, Survivor, Mark Farner and was MC’d by Drew Carey. Charlie got hotels to donate rooms, airlines to give him lower prices, buses, trucks, sound and lights all donated or did the job at rock bottom prices. The artists and all the crew took no money for their efforts. These concerts netted $575,000 and in November 2001, Charlie, members of his staff, members of Styx, Journey and REO Speedwagon stood at the ruins of The World Trade Center and presented a check for $550,000 to the Port Authority Police World Trade Survivor Fund. $25,000 was given straight to 2 individuals which included Kelly Lee, widow of well-known tour carpenter Danny Lee who was killed on the flight from Boston going home for the birth of his second child. In 2002 two concerts were done at the Meadowlands in New Jersey and in Cleveland. Participating in the proceeds that year was the Port Authority Police and The Rock and Roll Hall of Fame Educational Fund. Charlie was honored in 2005 with NARAS’ prestigious Hero’s Award along with Coretta Scott King and Usher. His good friend, Jon Bon Jovi presented him to the audience and Styx was his musical guest. In 2010 he was inducted into the Georgia Music Hall of Fame as a non-performer with Styx James “JY” Young and Tommy Shaw doing the honors. In January 2012 Charlie joined the prestigious Red Light Management that manages artists such as The Dave Matthews Band, Phish, Alicia Keyes, Tim McGraw and many, many more. His office became the Atlanta Red Light Office. RLM has offices in NYC, Nashville, Los Angeles, Denver, London and is headquartered in Charlottesville, VA. He sits on the Board of TJ Martell Cancer Organization and NARAS. Charlie has been active in Grammys in the Schools and sat on the Board of Directors of the Rock & Roll Hall of Fame and Museum in Cleveland.

ABOUT THE SPEAKERS

Bram Bessoff, Partner
Indie Hitmaker

Bram Bessoff’s career is a mash-up of music and technology which come together as Indiehitmaker (IHM). Part of the new music industry, IHM offers a music service once unavailable to the masses of artists who still sell music in today’s market. Backed by PolyPlat Records, the label he co-owns, and powered by Blue Mountain Technologies, his software development company, IHM helps independent artists advance their careers by enabling them to report live venue sales to SoundScan, a service once only available to signed artists. This makes technology available, affordable and easy to use for every one of the 300,000+ independent artists currently touring and performing in the US and a way to leverage the only industry-accepted sales metric, SoundScan, to get on the Billboard Charts. IHM has serviced 100+ artists since inception, with more than a dozen of them charting on SoundScan and Billboard, and with one even hitting number one on the coveted Heatseekers album charts. Bram’s music industry experience started nearly two decades ago as the drummer for Soup, a regional touring act. After its disbandment, Bram started SoundArt Management to help other independent artists (Pepper’s Ghost, Dr. Dan, Fashion Bomb) make the jump from indie to signed. SoundArt also focused on tour management heading the Virgin College Mega Tour for four years in a row, until he met Atlanta indie rockers State of Man with whom he soon partnered to form Indiehitmaker. Bram’s expertise in technology brought IHM to life. All while touring, playing 150+ shows a year, Bram was the marketing & creative director, UI designer and usability expert for CompeteNet Inc., a technology company servicing clients such as IBM, HP/Compaq, Northrop Grumman, DOD (U.S. Army), Xerox, Unisys, Sun, EDS, and Scottrade with Web-based competitive intelligence, simulation training and distance learning solutions. He left CompeteNet and started Blue Mountain Technologies with the company’s CTO and lead developer. Today they provide cutting edge, cross platform technology solutions for software development across the Web, cloud and mobile devices. A frequent speaker a industry conferences in Atlanta and around the US, Bram is now focused on live music production and helping artists get the most out of their live show. He also helps artists break into Chinese and Far East touring markets as brand ambassadors to the countless music fans in the Orient.
