You are invited to NARIP’s

Multiple Rights & 360 Deals: What Are They?
360 Record Deal Mock Negotiation

on Thursday, July 19, 2012 in Houston

Multiple rights or “360 deals” are now industry standard. At this NARIP program, two attorneys explain what these deals encompass. They will then face off in a live mock negotiation of key deal points and contractual issues that affect an artist’s rights and income, and a record company’s ability to acquire and monetize additional rights.

These experts come together to give you the inside track on major deal points, what they mean and what leverage you have to negotiate the best possible deal.

Most people think they can just hand a negotiation to a lawyer, and leave it at that. But as a professional, you need to be aware of the process and deal points, too, and what the short- and long-term implications to your artists’ careers may be.

Most importantly, you will see HOW a 360 deal is negotiated and be involved in the process.

Get educated about the art of deal-making!

Attorneys and non-attorneys are welcome.
You need not be a NARIP member to attend.

This NARIP program will cover
multiple rights and 360 deals:
What are they?

Topics:

  • How to minimize or maximize a record company’s involvement in additional rights
  • How to obligate a record company to monetize additional rights and maximize returns from a 360 deal
  • Important deal points including new 360 provisions, ancillary rights, digital royalties, royalty rates for mobile, digital downloads, and interactive streaming services.
  • The right time to make a deal
  • 360 deals for developing artists
Also to be addressed:

  • Rights and revenue streams typically included in 360 deals (recording, publishing, merch, touring, sponsorships, endorsements)
  • What parties enter into multiple rights deals? (such as labels, publishers, personal artist management companies)
  • What is the nature of the label’s (or other party’s) participation in each of the various revenue streams, active or passive?
  • Calculation of artist’s share (e.g., are revenue streams and costs cross-collateralized? If so, how?)
  • New business models such as LLC-type deals and others
  • Advances, recording funds, tour support, marketing and promotion commitments
Sample agreement provided.

Leslie Warren Cross, Jr., Esq.

The Cross Firm, P.C. was established in June 1997. Its slogan is “Your Vision – Our Passion” and that phrase perfectly captures our story. The Firm started out representing individuals and small businesses that no one else took seriously and that other lawyers did not want to represent. As a Law Firm, we could relate to our early clients, because no one was taking us seriously either. Says the firm’s founder Leslie Warren Cross, Jr., Esq., “I still remember my clients confirming that the Cross Firm would be representing their interests and the opposing side responding with ‘who?’ or ‘So what!’ or ‘Never heard of them.’ What our early opponents failed to realize, until it was too late for most of them, was our belief that their Goliath was entering into the ring with our David.” Since then, the Cross Firm has engaged in hundreds of transactions in and outside the entertainment arena. We have represented the interests of Platinum and Gold Artists as well as Producers, Independent Labels, Managers, Authors, Concert Promoters, Publishers, successful small and mid-size businesses of all types, Entrepreneurs and investors, as well as those who have the need for wisdom and protection in their individual matters. For our firm, no vision is too small to serve and protect.

How To Market & License Music For Film & TV

on Tuesday, March 23, 2010

at Mesa Community College in Mesa, AZ

Co-sponsored by
the Mesa Community College Music Business Program

According to Billboard magazine, among the 100 ways for music to receive exposure and cut through clutter, 7 of the top 10 ways include song placement. Music placement has increased dramatically in importance with the proliferation of media channels, and the competition is fierce as more artists and their reps seek licensing opportunities.

Success in synch licensing requires relationship-building, patience, organization, follow-up and understanding the needs of the music buyer.

In this NARIP program, four experts who have collectively secured thousands of placements will discuss strategies and information sources they use to exploit their catalogs and share tips on how to pitch and place music in television, films as well as in movie trailers, video games and advertising.

They will also discuss how to make music more attractive to buyers, where to find them and how to put yourself in line for the most favorable possible deal.

Most importantly, you will learn how to make and close these deals… and keep music buyers coming back for more.

NARIP programs on this topic have been a hit and/or sold out in every city where we have conducted it.

Get educated about the art of music placement!

YOU WILL LEARN

  • How to prepare a recording to increase impact and marketability

Cindy Rosmann, Owner, Fuze Artz LLC

Cindy Rosmann founded Fuze Artz in 2007 on the heels of a decade at Groove Addicts where she built the company’s music publishing and licensing division. Returning to her entrepreneurial roots, she now integrates talent and publishers that span the globe into her new venture and produces brand-specific audio strategies for film, TV and new media. Collaborating with top media clients and music labels, Fuze Artz creates solutions for the content and delivery issues facing today’s entertainment marketers and music publishers. Focusing on new media and technology that provides artists, music publishers and composers with strategies to market digital content in a multi-platform world, Fuze Artz also creates original music for network branding, promos, trailers, main titles, IDs and entertainment plus music licensing, music supervision, clearance and sonic branding.

Rosmann served as VP and General Manager at Groove Addicts, overseeing and expanding the company’s licensing and publishing division domestically and in the 30 countries where its music is distributed. Joining the company in 1997, Rosmann grew the division’s revenue at a rate of 40% annually until 2001. Responding to the challenges of the dot.com bust, SAG strike and 9/11, Rosmann aggressively launched niche product lines generating multiple revenue streams and turned her attention to getting music on the Web. This strategy worked to dominate market share in a crowded field of music publishers vying for this business. Rosmann was responsible for acquiring content, continually expanding the catalog’s reach into foreign markets which included attracting representation in North America of music from top publishers from around the world. Managing the sales and support staff, Rosmann also worked closely with recording and performing artists. This included bringing new and emerging talent to the company roster, and producing and packaging music for motion pictures, two soundtracks, trailers, video games and advertising campaigns, music libraries and original scores for spots and promos. In the last decade, Rosmann immersed herself in new technologies in an effort to protect copyright assets and provide clients with music in an increasingly digital world. This included using audio watermarking, digital royalty streams, meta-data encoding, retooling and launching the company’s interactive Web sites and bringing new catalogs, like the trailer composer scoring series FULLTILT, to market.

Rosmann came to Groove Addicts from a career in public relations and marketing, previously owning and operating her own consulting firm. Her background includes extensive work for cable industry clients such as Lifetime Network and the NCTA. Rosmann is a member of ASCAP, BMI, SESAC performing rights organizations; PROMAX, an international organization providing education, recognition and interaction for promotion, marketing and design professionals in electronic media; NATPE, National Association of Television Program Executives; AIMP, Association of Independent Music Publishers; CCC, California Copyright Conference; I3DS, a new international 3D Society formed by John Landau, Jim Chabin and Jeffrey Katzenberg to advance the achievement of professionals working in the arts and technologies of Steroscopic 3D. Rosmann is very active locally in the arts community, serving as Chairperson of the Santa Monica Malibu Unified School District Visual & Performing Arts Advisory Committee and working in support of the District’s FOR THE ARTS endowment.

Recent highlights include creating new Promo IDs for the Bravo network launching a new web music search engine; placing “Beautiful Tree,” a song from the Fuse Artz Artistz catalog as the Main Title Theme for the CBS/Warner Bros new show, “Life Unexpected” premiering airing on The CW Network; “Devisitate” from Game Time Glory: The Next Season licensed for the “Clash of the Titans” trailer campaign, due to hits US theaters nationwide in March 2010, plus numerous game, advertising and TV show custom scores and song placements.

ABOUT THE SPEAKERS

Jake Versluis, Founder, Verse Management

For over 13 years Jake Versluis has navigated the increasingly tumultuous music business and is the owner of two companies, Verse Management Corp. and Cause Focus. After putting in time as the marketing manager at Artist Direct (1999-2002) and BandMerch (2002-2004), Jake joined REN Management to work with the management team for INCUBUS. The small management company allowed him to handle many duties for the band including marketing, music pitching, touring, merchandising, publishing and more. He continues to work with the band who are now a client of his Non-profit consulting company, Cause Focus. Founded in 2008, Cause Focus works with high-profile bands to assist them in raising money for charity. His newest client is NO DOUBT.

Jake’s management company handles two acts: EARLY STATES and GABY MORENO. EARLY STATES is a young band out of Sacramento, CA signed to Wind-Up Records (Evanescence, Creed, Finger 11). The band releases its debut record in 2011. GABY MORENO is a Guatemalan singer/songwriter living in Los Angeles. A true independent artist, Gaby has achieved the following with no agent or record label: he won the grand prize in the John Lennon Songwriting contest in 2007, toured as direct support for Tracy Chapman in 2009, toured as direct support for Ani Difranco in 2009 and again in 2010, sold 2,000 copies of her debut CD “Still the Unknown”, and wrote the opening theme song to NBC’s hit show “Parks and Recreation.” Her music has been featured in TV shows such as “The Hills,” “Ghost Whisperer,” “Khloe and Kourt,” “Lincoln Heights” and more. Gaby sang the classic Charlie Chaplin song “Smile” in the 2009 movie “The Cove,” which won a 2010 Oscar for best documentary.

Jake attended the University of Florida where he graduated with a Bachelor of Science in Business Administration in ’99. He has lived in Los Angeles since 1999.

Pandy Raye has never known a life without music. From an early age, she drew her inspiration from her parents. After playing in bands, studio work and songwriting on the side, she moved from Kansas City to Arizona in 1999 and started meeting people in the music scene here. She feels it is essential to not only build relationships, but o keep and respect them. She believes that success is also about networking and connecting with other people who share your passion. Then find the venues/events that need what you have to offer and go from there. Along the way, never make promises you can’t keep and always strive to be better at what you do. “I have been extremely lucky to have found a business partner, who shares my work ethic and vision,” she says, referring to Rhonda Hitchcock, Co-Founder of Chicks with Picks. Together they have booked almost 900 shows in 3 1/2 years and now have over 300 artists on the CWP roster! The key is having dedication, passion, believing in what you do, having the “right people” in your corner, working hard, and having great talent to back it all up. Together these Pandy and Rhonda are blazing a path for female singer/songwriters and musicians in Arizona.

You are cordially invited to NARIP’s

Modern A&R and Artist Development:
A Conversation With Hit-Maker Ken Mary

on Thursday, September 23, 2010

in Mesa, AZ

Presented in partnership with
MCC Career and Re-Entry Services and
the Mesa Community College Music Business Program

What do Alice Cooper, Megadeth, House of Lords, The Beach Boys and The Phunk Junkeez have in common?

Ken Mary.

This Seattle, Washington native has distinguished himself as a hit-maker, producer, writer, drummer, singer and now record company president for a wide range of talent that spans everything from emo and hard core to choral music. He will speak to our group during this special session on Thursday, September 23 about A&R, artist development and bringing the best out of his artists and clients.

Ken will also listen and provide feedback to NARIP member demos at our session.

A&R and artist development are at the root of every financial decision a record company makes, and vital to the health of our industry. With A&R and artist development cut to the bone at most labels, the producer’s role becomes even more important to help shape and guide talent in the studio, and then into the marketplace.

In this NARIP session, you will discover the magic and the mystery of A&R, who’s getting signed (and who’s not), choosing the right producer, getting the attention of producers and A&R execs, signing with a major or indie, and more.

Get an insider’s peek at the economic and artistic realities of the fastest-changing, hottest business in the world and don’t miss this intimate, unique and interactive learning experience.

SPECIAL BONUS: NARIP Members Get Feedback From Ken
NARIP members will have the opportunity to select one (1) song to be played live at our event to receive direct feedback from Ken. Only NARIP member material will be selected to receive feedback. If you would like YOUR material to be critiqued by Ken:

ABOUT THE SPEAKERS

Ken Mary

Ken Mary has worked as a producer, drummer, singer, and writer on some 30 albums that have sold over 5 million copies worldwide. He currently serves as President for VSR Music Group, an EMI distributed record label, and is a longtime member of the Grammy Nomination Committee. Ken’s talents have enhanced the work of a bizarre and eclectic group of artists that stylistically span everything from emo and hard core to choral music. The (incomplete) list includes internationally known artists such as Alice Cooper, Trik Turner, Megadeth, LaRue, House of Lords, Everybodyduck, The Phunk Junkeez, The Beach Boys, Northern Light Orchestra, Esterlyn, Trik Turner, Chris and Conrad, Bob Carlisle, Debbie Sledge, Ever Stays Red, Jordan Rudess, Gene Simmons, Scott Krippayne, as well as many new, upcoming artists such as Ember, Silverline, Seven Stories Up, Tayla, Kendall Gaveck, Echoes the Fall, Elida Young, Brian Weaver, and hopefully many more to come.

Equally at home producing a rock band, recording an authentic flamenco record, or mixing a 40-piece orchestra with a 300-voice choir, Ken thrives on artistic freedom. “…I love to work in different styles and capture the emotion of each song and artist. That’s ultimately what people respond to when they listen to music; they want to feel the emotion that the artist is feeling . . . “

Growing up in Seattle, WA, he began his career drumming in his high school rock band, Fifth Angel. The band signed to Epic Records in 1986, the same year in which Ken joined Alice Cooper and moved to LA. Ken somehow managed to juggle the two commitments, and spent the next three years touring with Alice, doing session work in LA, and promoting Fifth Angel. He later joined House of Lords (working with Kiss mogul Gene Simmons), and became a highly respected session and touring musician. In 1995, after several gold albums, MTV top 10 videos, and numerous world tours, Ken began producing for other artists as well. He currently serves as President for VSR Music Group, an EMI distributed record label, and is a longtime member of the Grammy Nomination Committee.

Throughout his career Ken has worked alongside and learned from some of the best music producers and engineers in the world including industry giants Andy Johns (Led Zepplin), Michael Wagener (Ozzy Osbourne, Janet Jackson, Extreme), Howard Benson (P.O.D.), Terry Date (Rage Against the Machine, White Zombie), Bill Kennedy (Nine Inch Nails, Megadeth), Mick Guzowski (Mariah Carey), Mac (Queen), Garth Richardson (Rage Against the Machine, Chevelle), and Desmond Child (Ricky Martin, Aerosmith).

Today he is known mainly for his skill as a multi-talented and critically acclaimed producer, engineer, and musician.

Over his career, Ken has racked up an impressive list of hits covering a wide range of artists which includes 8 Billboard Top 40 hits, 11 Top 10 hits in the CBA market, and numerous hits on other charts including Radio and Records, New Music Weekly, AOL Music, most recently the #1 New Music Weekly Top 40 Hit by Ember “The Deep End” which surpassed Daughtry and Lady Gaga in national airplay. Having experience in the Television industry as well, Ken won a Telly Award for his work as musical producer and director for the cable television series “Reality Rules.” He has also recorded for and appeared in three episodes of the long running hit ABC television series “Full House.”

Record labels and corporations Ken has worked with include RCA, MCA, Epic, CBS, Benson, JVC, Atlantic, DGC, BMG, Relativity, Organic, Cadence, Invincible, Reunion and REX Fox, Universal, EMI, RCA, Benson, MCA, Trump Enterprises, (yes, as in The Donald), TBN, Zebra, Provident, Reunion, Sony/BMG, Suburban Noise, CBS, BEC, and ABC Family.

Mock Negotiation of a Producer Deal

Part of NARIP’s Art of the Music Deal Series:
What Happens Before You $ign on the Dotted Line?

on Wednesday, February 24, 2010

at Mesa Community College in Mesa, AZ
Co-sponsored by
the Mesa Community College Music Business Program

Once again we bring you top professionals, music attorney Phil Daniels (from Los Angeles) and producer Les Scott, to wrangle a career-making deal.

Most people think they can just hand a negotiation to a lawyer, and leave it at that. But as a professional, you need to be aware of the process and deal points, too, and what the short- and long-term implications to your artists’ careers may be.

In this session, two top experts face off in a live negotiation of a producer agreement in NARIP’s Art of the Music Deal. These experts come together to give you the inside track on major deal points, what they mean and what leverage you have to negotiate the best possible deal.

Most importantly, you will see HOW a producer deal is negotiated and be involved in the process.

Get educated about the art of deal making!

YOU WILL LEARN

The right time to make a deal.

Major areas of negotiation, including:

  • Producer advance vs. recording fund. Did you know it all comes out of the artist’s recording fund?
  • Producer royalty. Did you know it all comes out of the artist’s royalty?
  • Recoupment
  • Terms & Options
  • Controlled Composition Clause: what you need to know if your producer is also your co-writer!
  • What does the artist’s recording agreement say?? THIS affects the producer’s royalty, royalty accountings, mechanical royalties, CD reductions, “fake” free goods and much more!

JASON COOCHWYTEWA

Jason Coochwytewa is President of Red Note, Inc. With a diverse background in the advertising and marketing industry of 14+ years, Jason Coochwytewa began his work in entertainment in 2000 as an executive at a large-scale Native American casino in New Mexico. It was here that Jason was introduced to the “business-side” of the music industry: booking, marketing, and creating casino promotions around major national headlining acts. However, his appreciation for music in the art form was discovered as a young boy. Deeply rooted in his Native American culture, his father sang and taught him traditional Hopi songs, emphasizing the importance of listening to the words, rhythm and beat. Time spent with his father laid the foundation to what would eventually become Jason’s passion in life: music. In 2005, Jason launched Red Note, Inc. based in Phoenix, Arizona, and now works full-time planning and managing intimate to large-scale event productions and promotions including festivals and headlining music concerts. Jason has been involved with over 100 shows, working with legendary to “fresh on the scene” musicians and bands. In 2008, Red Note, Inc. produced two major events during Super Bowl XLII; the Arizona Indian Festival with estimated audience of 20,000 and the Native American component of the NFL’s Super Bowl XLII VIP Tailgate Party for 10,000 individuals. Jason serves as a juror on the Canadian Aboriginal Music Awards and is an advisory board member for the launch of the World Indigenous Music Awards set to take place in 2010 in Canada. He is a graduate of Arizona State University with a Bachelor of Science in Marketing, and is an alumnus of Valley Leadership – Class 26. He currently serves as the National Association of Record Industry Professionals (NARIP) Phoenix Chapter Director, is a Board of Trustee with the Arizona Science Center and a board member with both the Girl Scouts of America Arizona Pine Council and the American Indian Chamber of Commerce of Arizona. Jason once again serves as co-chair of the Arizona Diamondbacks Native American Day on July 12, 2009 at Chase Field in Phoenix, Arizona.

Jason Feinberg, President & Founder, On Target Media Group

Jason Feinberg is the president and founder of On Target Media Group, a music industry digital marketing agency. He is responsible for business development, formulation and management of online marketing campaigns, and Topspin campaign administration. The company has served clients including Warner Bros. Records, Universal Music Enterprises, EMI, Concord Music Group, Roadrunner Records and others. OTMG has marketed artists such as The Pixies, Har Mar Superstar, Flipper, George Thorogood, Steve Vai, Neil Young, John Coltrane, Ringo Starr and many more. You can follow Jason on Twitter @otmg.
